Terms of Service

1. Agreement to Terms

By accessing or using the services of Broadway Web Designs ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Broadway Web Designs provides the following services:

  • Custom website design and development
  • Website redesign and modernization
  • Website maintenance and support
  • Mobile-responsive design implementation

Specific service details, including pricing and deliverables, are outlined in individual project agreements.

3. Payment Terms

Website Creation: A one-time design fee of $500 plus a monthly maintenance fee of $50.

Website Redesign: A one-time redesign fee of $300 plus a monthly maintenance fee of $50.

Payment is due according to the schedule outlined in your project agreement. Monthly maintenance fees are billed in advance on the first of each month. All fees are non-refundable unless otherwise specified in writing.

Late payments may result in temporary suspension of services. A fee of 1.5% per month may be charged on overdue balances.

4. Client Responsibilities

You agree to:

  • Provide timely feedback and approvals
  • Supply content, images, and materials in a timely manner
  • Ensure you have the right to use any materials you provide
  • Maintain accurate contact information
  • Pay all fees according to the agreed schedule

5. Intellectual Property

Upon receipt of full payment, you will own the final website design and code for your project. We retain the right to display the website in our portfolio unless otherwise agreed in writing.

You retain ownership of all content, text, images, and materials you provide. You warrant that you have the right to use all materials provided to us.

We retain ownership of:

  • Pre-existing code, tools, and frameworks
  • Design elements, icons, and graphics not created specifically for your project
  • Development methodologies and processes

6. Revisions and Changes

Project scope includes revisions as outlined in your project agreement. Additional revisions beyond the agreed scope may be subject to additional fees. We reserve the right to charge for revisions requested after project approval.

7. Timeline and Delays

Project timelines are estimates based on timely client feedback and deliverables. Delays caused by client feedback, content delivery, or scope changes may extend the project timeline. We are not liable for delays caused by circumstances beyond our reasonable control.

8. Maintenance Services

Monthly maintenance includes:

  • Software updates and security patches
  • Technical support and troubleshooting
  • Minor content updates as specified in your agreement

Maintenance does not include major redesigns, new feature development, or content creation. These services may be provided at an additional cost.

9. Warranty and Support

We warrant that our services will be performed professionally and with reasonable skill and care. We provide bug fixes and technical issues related to our work during the maintenance period.

This warranty does not cover issues arising from third-party plugins, client modifications, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, Broadway Web Designs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

11. Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • All outstanding fees become immediately due
  • We will deliver completed work as of the termination date
  • Client-owned deliverables will be provided upon full payment

Monthly maintenance may be cancelled with 30 days notice; no refunds for prepaid months.

12. Confidentiality

We agree to keep confidential all proprietary information disclosed by the client. This obligation survives termination of our agreement.

13. Third-Party Services

Our services may involve integration with third-party services (hosting, domains, plugins, etc.). We are not responsible for the performance, policies, or practices of third-party providers.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.
